1.1 "Topaz-95" LLC welcomes you to the wlan.am website and invites you to review the following terms and rules before agreeing to purchase any chosen product.
1.2 On this website, "Topaz-95" LLC (hereinafter also referred to as the Seller) presents the types of products it sells, which constitutes a public offer addressed to all physical persons and legal entities who have the right to enter into a Product Purchase/Sale Contract with the Seller under the conditions set forth in this offer. The contract concluded on the basis of the Buyer's acceptance of this offer constitutes an adhesion contract, which the Buyer joins without any exceptions and/or objections.
1.3 The placement of a product purchase order by the Buyer, whether independently or through the Seller, constitutes irrefutable proof of acceptance of the terms of this contract. A Buyer who has confirmed a product purchase order is considered to have entered into a legal relationship with the Seller under the provisions of this Contract.
1.4 In the absence of the ordered Product(s) in stock, the Seller reserves the right to fully or partially cancel the Buyer's order, of which the Seller will inform the Buyer by sending an email to the email address provided during order confirmation or via phone (or any other available telecommunication means).
2.1 Based on a registered valid/active order, the Seller transfers, and the Buyer, after confirming the order, pays for and receives the ordered Product in accordance with this contract.
2.2 The price of the Product is set unilaterally by the Seller (pre-published on the wlan.am website) and is defined in Armenian Dram (AMD), representing the value/price of one unit of the Product.
2.3 The Seller reserves the right to change the price of the offered products at any time without prior notice.
2.4 The price of the product must be paid in full (100%) as a single lump sum by the Buyer. The Buyer may choose to pay for the product either in cash or non-cash by transferring funds to the Seller's bank account. The Buyer must inform the Seller in advance of their chosen payment method.
In the case of choosing cash payment, the payment is made at the moment the Product is handed over to the Buyer by the Courier. The fact of payment for the Product is confirmed by a receipt issued to the Buyer by the Courier. The Seller strongly urges keeping the payment receipt.
In the case of non-cash payment, the Buyer must specify the purpose of the transfer and the Product for which the payment is made.
3.1 The Product is delivered to the Buyer within the timeframe pre-established by the parties. The Buyer is solely responsible for the accuracy of providing the exact delivery address/location.
3.2 The delivery date is considered to be the date recorded in the handover-acceptance act. The Seller's obligations to the Buyer are considered fully fulfilled from the moment the product is handed over to the Buyer. Delivery is carried out by couriers on business days from 10:00 to 20:00 in Yerevan. In cases where the Buyer is located outside Yerevan city limits, other delivery dates and times may be established by mutual agreement between the Seller and the Buyer. In any case, delivery terms (including the exact day and place) are determined by mutual agreement before the Product is delivered.
3.3 The Seller delivers Products only within the territory of the Republic of Armenia. The Seller does not deliver products to penitentiary institutions, military units, hotels, public catering facilities, cafes, airports, metro stations, and similar public places, nor to any location that is not considered the permanent residence or location of the customer.
3.4 The Seller bears no responsibility for failure to deliver the product within the set timeframe if the delay arises due to the Buyer's fault (e.g., incorrect delivery address provided, absence/non-residence at the specified address) or due to circumstances beyond the Seller's control, such as natural disasters, accidents, or other force majeure events.
3.5 The Buyer's ownership rights to the ordered Product arise upon actual payment of the specified price/value for the Product and signing of the handover-acceptance act. Risk of loss or damage to the Product transfers to the Buyer upon delivery of the product by the Seller.
3.6 Upon receiving the Product, the Buyer is obliged to unpack it in the presence of the Courier and inspect its completeness and integrity to ensure that the Product matches the ordered assortment. By signing the handover-acceptance act after performing these actions, the Buyer unconditionally agrees and accepts that the delivered Product is the one ordered, corresponds to the assortment and quantity, is intact, undamaged, brand new (i.e., unused), and fully corresponds to the description on the wlan.am website and the purposes for which the Buyer purchased it.
3.7 Upon receiving the Products, the Buyer must present an identification document to the Courier to verify their identity. If the Buyer refuses to present an ID document, the Courier has the right not to hand over the delivered product.
4.1.1 Perform its obligations to the Buyer from the moment this Contract is concluded, in accordance with this Contract and current legislation of the Republic of Armenia.
4.1.2 In the event of changes to delivery times, notify the Buyer as soon as possible regarding full or partial changes to delivery terms to obtain the Buyer's consent for the modified conditions. The Seller contacts the Buyer via telephone or email.
4.2.1 Unilaterally modify the provisions of this Contract at any time, including Product prices, payment methods and terms, and delivery parameters. All changes take effect from the moment they are published on the website, and the fact of their publication serves as proof that the Buyer has been informed of the changes.
4.2.2 Refuse complaints regarding Product quality if the merchantable appearance, storage conditions, or consumer properties of the Product have not been maintained, and/or in cases where defects resulted from the Buyer's negligence, violation of operating conditions defined by the manufacturer, or any external physical impact.
4.2.3 Refuse delivery or demand the return of an already delivered/shipped Product if the set price has not been paid or has been paid incompletely (improperly).
4.3.1 Carefully review the contents and terms of this Contract, as well as the prices set for Products on the wlan.am website, prior to concluding the Contract.
4.3.2 Provide the Seller with necessary identification documents and a clear, accurate delivery address so the Seller can fulfill its obligations.
4.3.3 Pay the price specified on the wlan.am website for the ordered Product in accordance with the terms of this Contract.
4.3.4 Sign the handover-acceptance act upon receiving the ordered product.
5.1 In the event of a dispute between the Parties regarding the return of a Product or refund of paid funds, the Parties shall be guided by this Contract, the Civil Code of the Republic of Armenia, the RA Law "On Protection of Consumer Rights", RA Government Decision No. 140 of February 18, 2002, and other regulatory legal acts governing relations between buyers and sellers.
5.2 In all cases, the Seller may refuse to accept back, exchange, refund, or accept a returned Product if its merchantable appearance or consumer properties have not been preserved, or if the Product is presented in a damaged state due to external impact. At the same time, the product must be new, retain its protective films, and show no traces of use (either externally or internally, including photos, electronic messages, notes, phone numbers, or any other data/files in storage memory resulting from usage). Furthermore, the packaging and box must be undamaged. These provisions also apply to components included in the Product's set.
5.4 The Buyer submits claims to the Seller in writing, to which a written response will be provided in the shortest possible timeframe during business days. The Buyer's claims will be considered only if the Buyer presents a document confirming the purchase of the Product from the Seller (payment receipt).
6.1 In the event of any dispute arising between the Parties, it shall be resolved through negotiations. If negotiations fail to resolve the dispute, the Parties may apply to court. Dispute resolution shall be referred to the courts operating within the territory of the Republic of Armenia.
7.1 The Parties are released from liability for full or partial non-fulfillment of obligations under this contract if it was the result of force majeure circumstances that arose after the contract was concluded and which the Parties could neither foresee nor prevent. Such situations include earthquakes, floods, war, declaration of martial law or state of emergency, disruption of communication means, acts of state bodies, etc., which make fulfillment of contractual obligations impossible. If the influence of force majeure continues for more than 3 (three) months, each Party has the right to terminate the Contract by giving prior written notice to the other Party.
8.1 When placing an Order on the wlan.am website, the Buyer provides the following information: full name, phone number, email address, registration address, and actual residential address (if different from registration address) where the Product is to be delivered.
8.2 The Seller uses the information received from the Buyer solely to fulfill its obligations toward the Buyer.
8.3 The Seller undertakes not to disclose data received from the Buyer, except as provided for by this Contract and the law. The Seller may transfer such data to agents and third parties acting on the basis of a contract with the Seller to fulfill obligations to the Buyer, to which the Buyer hereby gives unconditional consent.
8.4 By accepting this offer, the Buyer grants permission and consent for "Topaz-95" LLC to process their personal data—including full name, provided addresses, phone numbers, and email addresses—and to collect, systemize, accumulate, store, clarify (update, change), use, and destroy personal data, as well as transfer it to sub-agents for further processing. This includes data processing for quality improvement studies, marketing programs, statistical surveys, and direct contact via various communication channels (including postal mail, email, telephone, fax, internet, etc.). The Buyer agrees that "Topaz-95" LLC and its sub-agents may process personal data using automated databases and computer software developed by or on behalf of "Topaz-95" LLC.
